Corporate Paralegal

General Purpose of the Position:

The purpose of this position is to provide transactional paralegal support to Switch Legal by preparing work product, communicating significant issues in an effective and efficient manner to and from the attorneys and legal staff, managing legal files, conducting research, preparing reports, handling information requests. Works with attorney guidance but has decision making authority regarding schedules and escalation of daily priorities. This position will report to the Associate General Counsel.

 

Supervisory Responsibilities:

This position carries out no supervisory responsibilities.

 

Essential Duties and Responsibilities:

  • Provide ongoing administrative and paralegal support to attorneys and legal staff.
  • Manage and maintain entity documentation including drafting and filing formation documents (e.g., LLC operating agreements, resolutions, consents, certificates, and minutes), annual renewals, and foreign qualifications and registrations in accordance with applicable law and company policies and practices.
  • Provide support for a variety of corporate matters such as debt and equity transactions, securities issuances, corporate regulatory compliance and financial reviews.
  • Coordinate with shareholder representatives and assist with their compliance needs.
  • Provide support in connection with periodic lender compliance reports.
  • Provide support in connection with Switch Board of Director and Committee meetings, such as Board materials, agendas, minutes and resolutions.
  • Prepare PowerPoint presentations and handle special projects as assigned. Enhance presentations by creating and editing the appropriate information on slides.
  • Prepare expense reports.
  • Serve as liaison between Switch Legal and external parties in connection with corporate matters.

Education and Experience:

Certification:        Paralegal certification, preferred

Education:           Associates degree or higher, preferred

Experience:         Minimum of five consecutive years or equivalent work-related experience supporting in-house legal department and/or law firm partners

                            Experience working with a general counsel and boards of directors is a positive
